Status of the IT Girls Foundation

Chapter I. General provisions

§1

  1. "IT Girls Foundation", hereinafter referred to as the Foundation, operates pursuant to the Act of 6 April 1984 on Foundations and the provisions of this statute.
  1. The Foundation was established by Adrianna Klimczak and Wioletta Klimczak, hereinafter referred to as the Founders, by a notarial deed drawn up by deputy notary Magdalena Dybciak, deputy of Karolina Kuźniar, notary in Warsaw, at the notary's office in Warsaw, at ul. Kasprowicza number 68, premises 85, on August 25, 2021.

§2

  1. The headquarters of the Foundation is in Warsaw.
  1. The duration of the foundation is indefinite.
  1. The area of activity of the Foundation is the entire territory of the Republic of Poland, however, to the extent necessary for the proper implementation of its goals, the Foundation may also operate outside the borders of the Republic of Poland.
  1. The Foundation may participate in companies and entities with other legal forms.

§3

  1. The Foundation has legal personality.
  1. The Foundation is supervised by the Minister responsible for Development, Labour and Technology.

§4

The Foundation may establish certificates, badges and award them along with other prizes and distinctions to natural and legal persons who have rendered great service to the Foundation and who contribute to the achievement of the Foundation's objectives.

Chapter II. Goals and principles of operation of the Foundation

§5

The goals of the Foundation are:

  1. Changing the stereotypical image of women in technical professions, especially in the area of IT and new technologies.
  1. Promoting technological professions, especially IT professions, in order to increase the number of women studying and working in these professions.
  2. Active support for women studying computer science and fields related to new technologies.
  1. Bringing together women working in IT and technology professions.
  1. Promoting technological professions among children and youth.

§6

  1. The Foundation pursues its goals through: 
  1. cooperation with the bodies running schools and facilities as well as organizations, institutions and offices supporting the education system in the country and abroad
  2. organizing meetings, events and trips for the community
  3. promoting positive role models
  4. organizing special events, including workshops, competitions, hackathons, trainings and courses
  5. building a community
  6. market and public opinion research
  7. cooperation with companies from the Polish and foreign markets
  8. creating scholarship programs independently and in cooperation with companies 
  9. participation in conferences and special events
  10. mediation in finding and filling job positions
  11. organizing psychological support, especially for people struggling with problems related to studying or working in technological professions
  12. organizing various forms of cooperation and exchange of experiences, in the form of conferences, seminars, etc. with the possible participation of partners
  1. In addition to implementing projects initiated by it, the Foundation may cooperate with other institutions, organizations and persons to achieve common statutory goals.

Chapter III. Assets and income of the Foundation

§7

The Foundation's assets include the founding fund in the amount of PLN 2,000 (two thousand zlotys), of which PLN 1,000 (one thousand zlotys) is allocated for business activities, as well as movable property, real estate, and financial resources acquired by the Foundation in the course of its operation.

§8

  1. The Foundation's income comes from:
  1. donations, inheritances, bequests,
  2. grants and subsidies from natural and legal persons,
  3. public collections and events,
  4. foundation assets,
  5. interest and bank deposits,
  6. income from business activities
  1. All revenues generated by the Foundation are allocated to statutory activities and to cover the costs of the Foundation's operations.
  1. Income from subsidies, donations and bequests may be used to achieve any statutory goals of the foundation, unless the donors decide otherwise.

Chapter IV. Economic activity

§9

  1. The Foundation may conduct business activities according to general principles specified in separate regulations.
  1. The Foundation conducts business activities only to the extent necessary to achieve its statutory objectives.

  1. If conducting business activity requires a license or permit, the Foundation will conduct such activity only after obtaining such license or permit.

Chapter V. Foundation Authorities

§10

The authorities of the Foundation are:

  1. The Management Board of the Foundation, hereinafter referred to as the Management Board,
  2. The Foundation Council, hereinafter referred to as the Council.

Foundation Council

§11

  1. The Council is the supervisory and advisory body of the Foundation.
  1. The Council consists of 1 to 5 members and is elected for a five-year term. The Council elects from among its members the Chairman of the Council, who directs its work.
  1. The members of the first Council are appointed by the Founders. The next members of the Council, in place of the persons who have ceased to perform this function or to expand the composition of the Council, are appointed by the Founders by their unanimous decision.
  1. In particularly justified cases, the dismissal of a member of the Council and thus deprivation of his or her membership in the Council may occur as a result of a resolution adopted unanimously by the remaining members of the Council or by a unanimous decision of the Founders.
  1. Membership in the Council expires as a result of:
  1. voluntary resignation, submitted in writing to the Chairman of the Council,
  2. loss of civil rights as a result of being convicted by a final court judgment for an intentional crime,
  3. the appeal referred to in point 4 of this section,
  4. death of a member.
  1. Membership in the Council may not be combined with membership in the Management Board.

§12

The tasks of the Foundation Council include:

  1. accepting the main directions of the Foundation’s activities,
  2. supervision and control over the Foundation's activities
  3. approving the annual reports of the Management Board on its activities and granting discharge to the Management Board,
  4. approving decisions on changes to the Foundation’s statute,
  5. approving decisions on merger with another foundation or liquidation of the Foundation.

§13

  1. The Council meets at least once a year.
  1. The Council is convened by the Chairman of the Council on his own initiative or at the request of the Management Board, submitted in writing.
  1. The Council makes decisions in the form of resolutions – by a simple majority of votes, in the presence of at least half of its members, unless further provisions provide otherwise. In the event of an equal number of votes, the vote of the Chairman is decisive. 
  1. A meeting of the Council may be convened in an extraordinary procedure to consider a matter of a special nature, on the initiative of the Management Board or at the written request of the Chairman of the Council or at least two of its members.
  1. An extraordinary meeting of the Council should be convened no later than 14 days from the date of submission of the request.
  1. Each ordinary member of the Council has one vote.
  1. Meetings of the Council are chaired by the Chairman or a Council member designated by him.
  1. The Council meeting may be held both in person and remotely using communication platforms.

Foundation Board

§14

  1. The Management Board consists of 1 to 5 persons, including the President, appointed by the Council for a five-year term. 
  1. The function of a Management Board member may be held for more than one term of office. 
  1. The first Board is appointed by the Founders. The next Board is chosen by the Council.
  1. Membership in the Management Board ceases as a result of:
  1. submitting a written resignation to the Foundation Council,
  2. loss of civil rights as a result of being convicted by a final court judgment for an intentional crime,
  3. death of a Management Board member,
  4. unanimous dismissal by the Foundation Council.
  1. The Management Board as a whole or any of its members may be dismissed by the Council before the end of the term of office, by way of a resolution adopted unanimously by all members of the Council.

§15

  1. The Management Board manages the activities of the Foundation and represents it externally.
  1. The competences of the Management Board include:
  1. managing the current activities of the Foundation,
  2. implementation of statutory objectives,
  3. preparing work plans and budgets,
  4. managing the Foundation’s assets,
  5. representing the Foundation externally,
  6. hiring employees and determining their remuneration,
  7. change of statute,
  8. submitting an application to the Council for approval of changes to the statute,
  9. submitting applications to the Council for the merger or liquidation of the Foundation.
  1. Each year the Management Board is obliged to submit to the Council an annual report on the Foundation's activities.

§16

  1. Meetings of the Management Board are held as needed, but no less frequently than once a quarter. 
  1. The Management Board meetings are convened by the President, who sends information about the date by e-mail, or if this is not possible, by registered mail, at least 3 days before the planned meeting.
  1. All members of the Management Board must be informed of the meeting.
  1. The Management Board makes decisions by means of resolutions by a simple majority of votes in the presence of at least half of its members, unless further provisions provide otherwise. In the event of an equal distribution of votes, the vote of the President of the Management Board shall be decisive.
  1. The Management Board meeting may be held both in person and remotely using communication platforms.

Method of representation and assuming financial obligations

§17

Each member of the Management Board is individually authorized to make declarations of intent on behalf of the Foundation, including property matters.

Chapter VI. Final Provisions

§18

The Council approves changes to the Foundation's statute by an absolute majority vote. The change may concern the goals specified in the founding act.

§19

  1. The Foundation may merge with another foundation to effectively pursue its goals.
  1. A merger with another foundation may not take place if it could significantly change the purpose of the Foundation.
  1. In matters of merger with another foundation, the decision is made by the Foundation Council by an absolute majority of votes.

§20

  1. The Foundation shall be liquidated when the purposes for which it was established are achieved or when its financial resources and assets are exhausted.
  1. The Management Board shall notify the minister responsible for culture and national heritage about the liquidation of the Foundation.
  1. The decision on liquidation is made by the Council by an absolute majority of votes.
  1. The financial resources and assets remaining after the liquidation of the Foundation may be allocated by virtue of a resolution of the Council to organisations operating in the Republic of Poland with similar goals.

§21

The Statute comes into effect on the date the Foundation is entered in the appropriate register.
