Statute of the "IT Girls" Foundation

Chapter I. General provisions

§ 1

1. The "IT Girls Foundation", hereinafter referred to as the Foundation, operates on the basis of the Act of April 6, 1984 on foundations and the provisions of this statute.

2. Foundation was established by Adrianna Klimczak and Wioletta Klimczak, hereinafter referred to as the Founders, by a notarial deed drawn up by deputy notary Magdalena Dybciak, deputy notary of Karolina Kuźniar, notary in Warsaw, at the notary's office in Warsaw, Kasprowicza Street number 68, premises 85, on August 25, 2021 .

§ 2

1. The headquarters of the Foundation is Warsaw.

2. The duration of the foundation is indefinite.

3. The area of operation of the Foundation is the entire territory of the Republic of Poland, however, to the extent necessary for the proper implementation of its goals, the Foundation may also conduct activities outside the borders of the Republic of Poland.

4. The Foundation may participate in companies and entities with other legal forms.

§ 3

1. The Foundation has legal personality.

2. The Foundation is supervised by the Minister responsible for Development, Labor and Technology.

§ 4

The Foundation may establish certificates and badges and award them, along with other awards and distinctions, to natural and legal persons who have made outstanding contributions to the Foundation and contribute to the achievement of the Foundation's objectives.

Chapter II. Objectives and principles of operation of the Foundation

§ 5

The Foundation's goals are:

1. Changing the stereotypical image of women in technical professions, especially in the area of IT and new technologies.

2. Promoting technological professions, in particular IT, in order to increase the number of women studying and working in these professions.

3. Active support for women studying computer science and fields related to new technologies.

4. Bringing together women working in IT and technology professions.

5. Promoting technological professions among children and young people.

§ 6

1. The Foundation pursues its goals through: 

1. cooperation with bodies managing schools and institutions as well as organizations, institutions and offices supporting the education system in Poland and abroad

2. organizing meetings, events and trips for the community

3. promoting positive role models

4. organizing special events, including workshops, competitions, hackathons, training and courses

5. building community

6. market and public opinion research

7. cooperation with companies from the Polish and foreign markets

8. creating scholarship programs independently and in cooperation with companies 

9. participation in conferences and special events

10. intermediation in finding and filling jobs

11. organizing psychological support, in particular for people facing problems related to studying or working in technological professions

12. organizing various forms of cooperation and exchange of experiences, in the form of conferences, seminars, etc. with the possible participation of partners

2. In addition to implementing projects initiated by itself, the Foundation may cooperate with other institutions, organizations and people to achieve common statutory goals.

Chapter III. Assets and income of the Foundation

§ 7

The Foundation's assets constitute the founding fund in the amount of PLN 2,000 (two thousand zlotys), of which PLN 1,000 (one thousand zlotys) is intended for business activities and movables, real estate and financial resources acquired by the Foundation in the course of its operations.

§ 8

1. The Foundation's revenues come from:

1. donations, inheritances, bequests,

2. grants and subsidies from natural and legal persons,

3. collections and public events,

4. foundation's assets,

5. interest and bank deposits,

6. income from business activities

2. All revenues obtained by the Foundation are allocated to its statutory activities and to cover the operating costs of the Foundation.

3. Income from subsidies, donations and bequests may be used to achieve any of the foundation's statutory purposes, unless the donors decide otherwise.

Chapter IV. Economic activity

§ 9

1. The Foundation may conduct business activities on general principles specified in separate regulations.

2. The Foundation conducts business activities only to the extent necessary to achieve its statutory objectives.

3. The Foundation may conduct business activities in the following areas:

4. If conducting business activity requires a license or permit, the Foundation will conduct such activity only after obtaining such a license or permit.

Chapter V. Foundation authorities

§ 10

The Foundation's authorities are:

1. The Foundation's Management Board, hereinafter referred to as the Management Board,

2. The Foundation Council, hereinafter referred to as the Council.

Foundation Council

§ 11

1. The Council is the control and opinion-giving body of the Foundation.

2. The Council consists of 1 to 5 members and is elected for a five-year term. The Council elects the Chairman of the Council from among its members, who manages its work.

3. The members of the first composition of the Council are appointed by the Founders. Subsequent members of the Council are appointed to replace persons who have ceased to perform this function or to expand the composition of the Council by a unanimous decision of the Founders.

4. In particularly justified cases, dismissal of a member of the Council and thus deprivation of his membership in the Council may occur as a result of a resolution adopted unanimously by the remaining members of the Council, or by a unanimous decision of the Founders.

5. Membership in the Council expires as a result of:

1. voluntary resignation, reported in writing to the Chairman of the Council,

2. loss of civil rights as a result of being convicted by a final court judgment of a crime committed intentionally,

3. the appeal referred to in point 4 of this paragraph,

4. death of a member.

6. Membership in the Council cannot be combined with membership in the Management Board.

§ 12

The tasks of the Foundation Council include:

1. accepting the main directions of the Foundation's activities,

2. supervision and control over the Foundation's activities

3. approving the Management Board's annual reports on its activities and granting discharge to the Management Board,

4. approving decisions to change the Foundation's statute,

5. approving decisions to merge with another foundation or to liquidate the Foundation.

§ 13

1. The Council meets at least once a year.

2. The Council is convened by the Chairman of the Council on his own initiative or at the request of the Management Board, submitted in writing.

3. The Council makes decisions in the form of resolutions - by a simple majority of votes, with the presence of at least half of its members, unless further provisions provide otherwise. In the event of an equal number of votes, the Chairman's vote is decisive. 

4. A meeting of the Council may be convened in an extraordinary manner to consider a matter of a special nature, on the initiative of the Management Board or at the written request of the Chairman of the Council or at least two of its members.

5. An extraordinary meeting of the Council should be convened no later than within 14 days from the date of submitting the request.

6. Each ordinary member of the Council has one vote.

7. The meetings of the Council are chaired by the Chairman or a member of the Council designated by him.

8. The Council meeting may be held both on-site and remotely using communication platforms.

Foundation Management Board

§ 14

1. The Management Board consists of 1 to 5 people, including the President, appointed by the Council for a five-year term of office. 

2. The function of a member of the Management Board may be held for more than one term of office. 

3. The first composition of the Management Board is appointed by the Founders. The next composition is selected by the Council.

4. Membership in the Management Board ceases as a result of:

1. submitting a written resignation to the Foundation Council,

2. loss of civil rights as a result of being convicted by a final court judgment of a crime committed intentionally,

3. death of a member of the Management Board,

4. unanimous dismissal by the Foundation Council.

5. The entire Management Board or each of its members may be dismissed by the Council before the end of the term of office, by way of a resolution adopted unanimously by all members of the Council.

§ 15

1. The Management Board manages the Foundation's activities and represents it externally.

2. The competences of the Management Board include:

1. managing the current activities of the Foundation,

2. implementation of statutory goals,

3. preparing work plans and budgets,

4. managing the Foundation's assets,

5. representing the Foundation externally,

6. hiring employees and determining their remuneration,

7. change of statute,

8. submitting an application to the Council for approval of changes to the statute,

9. applying to the Council for the merger or liquidation of the Foundation.

3. The Management Board is obliged to submit it to the Council every year annual report on the Foundation's activities.

§ 16

1. Meetings of the Management Board are held as needed, but at least once a quarter. 

2. Meetings of the Management Board are convened by the President, sending information about the date by e-mail, or if this is not possible, by registered mail, at least 3 days before the planned meeting.

3. All members of the Management Board must be informed about the meeting.

4. The Management Board makes decisions by means of resolutions by a simple majority of votes in the presence of at least half of its members, unless further provisions provide otherwise. In case of equal distribution of votes, the vote of the President of the Management Board is decisive.

5. The Management Board meeting may be held both on-site and remotely using communication platforms.

Method of representation and incurring financial obligations

§ 17

Each member of the Management Board is entitled to make declarations of will on behalf of the Foundation, including in property matters.

Chapter. VI. Final Provisions

§ 18

Changes to the Foundation's statute are approved by the Council by an absolute majority of votes. The change may concern the objectives specified in the founding act.

§ 19

1. The foundation may merge with another foundation to effectively achieve its goals.

2. A merger with another foundation cannot take place if it could result in a significant change in the purpose of the Foundation.

3. In matters of merger with another foundation, the Foundation Council decides by an absolute majority of votes.

§ 20

1. The Foundation is liquidated if the objectives for which it was established are achieved or if its financial resources and assets are exhausted.

2. The Management Board shall notify the minister responsible for culture and national heritage about the liquidation of the Foundation.

3. The decision on liquidation is taken by the Council by an absolute majority of votes.

4. The financial resources and assets remaining after the liquidation of the Foundation may be allocated, by resolution of the Council, to organizations operating in the Republic of Poland with similar goals.

§ 21

The statute comes into force on the day the Foundation is entered in the appropriate register.
